Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(a)    

On July 12, 2022, Robert Pons resigned as Chairman and as a member of the Board of Directors (the “Board”) of SeaChange International, Inc. (the “Company”), effective immediately. Mr. Pons’ departure is not a result of any disagreement with the Company relating to the Company’s operations, policies or practices.

In connection with Mr. Pons’ above resignation, on July 14, 2022, the Board appointed (i) Peter Aquino, a current member of the Board and the Company’s President and Chief Executive Officer, as Chairman of the Board, in addition to remaining as the Company’s President and Chief Executive Officer, and (ii) Matthew Stecker, a current member of the Board, as Lead Independent Director of the Board.
